The process for setting up a Spanish Limited Company is

  • Look for a name for the company and apply for a certificate to the Mercantil Registry in Madrid.
  • Draft the Articles of Association for the company according to its specific needs and sign the Articles in front of the Notary.
  • Pay the Stamp Duty on the formation of the company.
  • Obtained a registration number for tax purposes.
  • Register the company in the Mercantil Registry of its region.
  • If the business requires premises, a business opening licence must be obtained.
  • If the business is to have employees, it must be registered with the Spanish Social Security system.
  • The employees must be registered with the Social Security system and with the Employment Office.
